These Terms are an agreement between Code-Green ITM LLC, a Connecticut limited liability company (“CodeGreen ITM”, “we”, “us”), and the business that subscribes to our service (“Customer”, “you”). They cover the CodeGreen ITM web application, the CodeGreen ITM mobile app, and related services (the “Service”). By creating an account or using the Service, you agree to them.

What this Service is, and what it is not. CodeGreen ITM is a record-keeping and reporting tool. It does not perform inspections, does not verify that an inspection was carried out correctly, and does not certify compliance with NFPA standards, fire codes, or the requirements of any authority having jurisdiction. Professional judgement and legal responsibility for every inspection remain entirely with the licensed contractor and technician performing it. Read section 11 carefully.

1. Accounts and eligibility

You must be at least 18 and able to enter a binding contract on behalf of your business. You are responsible for the accuracy of your account details, for keeping credentials confidential, and for everything done under your account. Tell us promptly if you suspect unauthorised access.

Your subscription includes a set number of user seats. Each person must have their own login; sharing one login between people is not permitted, both for audit-trail integrity and because inspection records must be attributable to the individual who created them.

2. Free trial

New customers may receive a free trial of 30 days with access to the full Service. No payment card is required to start. At the end of the trial you may subscribe; if you do not, we may suspend access to the account.

Your data is not deleted the moment a trial ends. We will keep it for a reasonable period so you can subscribe or export your records, and we will give you notice before deleting anything. Trials are for evaluation and one per business; we may decline or end a trial we believe is being abused.

3. Subscription, fees, and renewal

Pricing is as quoted at signup or in your order. Subscriptions renew automatically for successive terms unless cancelled before the end of the current term. Fees are billed in advance and are non-refundable except where stated in these Terms or required by law; we do not provide partial refunds for unused time in a term you have paid for.

We may change pricing on at least 30 days' notice before your next renewal. If you do not accept the change, you may cancel before the renewal takes effect. If payment fails and is not resolved after we notify you, we may suspend access until the balance is paid.

Fees are exclusive of taxes; you are responsible for any applicable sales or use tax.

You own your data. Properties, equipment records, inspection results, photographs, signatures, and reports you put into the Service remain yours. You grant us only the licence needed to host, process, back up, and display it in order to provide the Service to you.

You are responsible for having the right to enter the data you enter — including contact details for people at the properties you inspect — and for your own obligations to those people. Our handling of personal information is described in the Privacy Policy.

You may export your records at any time while your subscription is active. We keep encrypted off-site backups for our own resilience; those are disaster-recovery copies, not a substitute for your own exports.

6. AI features

Parts of the Service use artificial intelligence — for example importing devices from a panel point report. These run only when you start them, and content you submit is sent to our AI provider for processing as described in the Privacy Policy.

AI output is a draft, not a result. It can be incomplete or wrong. The Service presents every AI suggestion for your review before anything is saved, and you are responsible for checking it. Do not rely on AI output as the record of an inspection without verifying it.

7. Availability and support

We aim to keep the Service available continuously but do not guarantee uninterrupted access. We may perform maintenance, and will try to schedule work that causes downtime outside normal working hours. We do not currently offer a contractual uptime commitment.

The mobile app is designed to keep working without a network connection and to sync when one returns. Support is available at [email protected].

8. Intellectual property

The Service, its software, design, and the CodeGreen ITM name and logo are owned by us and protected by intellectual property law. We grant you a non-exclusive, non-transferable right to use the Service during your subscription. Nothing in these Terms transfers ownership of the Service to you, or of your data to us.

If you send us feedback or suggestions, we may use them to improve the Service without obligation or payment to you.

9. Third-party services

The Service relies on third-party providers listed in the Privacy Policy. We are not responsible for their acts or omissions, and their failure or interruption may affect the Service.

10. Term, cancellation, and suspension

These Terms apply while you have an account. You may cancel at any time, effective at the end of your current paid term. We may suspend or terminate an account for material breach of these Terms, non-payment after notice, or activity that threatens the security of the Service or another customer.

After termination we will make your data available for export for a reasonable period, then delete it in the ordinary course. Ask us before terminating if you need a final export.

11. Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by law.

We do not warrant that use of the Service will result in compliance with NFPA standards, any fire code, any state or local regulation, or the requirements of any authority having jurisdiction. The Service records and formats what your technicians enter. It does not inspect equipment, verify that an inspection was performed properly, or replace the professional judgement of a licensed inspector. You remain solely responsible for the accuracy and completeness of every inspection, for the correctness of the reports you issue, and for holding the licences your work requires.

12. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of these Terms or the Service, even if advised of the possibility.

Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the amount you paid us in the twelve months before the event giving rise to the claim.

These limits do not apply to your obligation to pay fees, to either party's liability for fraud or wilful misconduct, or to anything that cannot be limited by law.

13. Indemnification

You agree to indemnify and hold harmless Code-Green ITM LLC and its members, officers, and employees from claims, damages, and reasonable legal costs arising from your use of the Service, your data, your breach of these Terms, or any claim relating to an inspection you performed or a report you issued.

14. Governing law and disputes

These Terms are governed by the laws of the State of Connecticut, without regard to its conflict of laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Middlesex County, Connecticut.

Before filing anything, please contact us — most disputes are resolved informally.

15. Changes to these Terms

We may update these Terms. For material changes we will notify account administrators by email or in the Service at least 30 days before they take effect. Continuing to use the Service after that means you accept the updated Terms; if you do not, you may cancel.

16. General

These Terms and the Privacy Policy are the entire agreement between us on this subject. If a provision is held unenforceable, the rest remains in force. Failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of the business. Neither party is liable for delays caused by events beyond its reasonable control.
